These terms govern your use of services provided by Maju Mesin. By engaging our services or using our website, you confirm that you have read and accepted the terms set out below.
Definitions
For the purposes of these Terms & Conditions, the following definitions apply throughout this document:
- "Agreement" — these Terms & Conditions together with any written engagement scope document or proposal accepted by the Client.
- "We / Us / Our / Company" — Maju Mesin, registered in Malaysia with its principal place of business at 3 Jalan Multimedia, Cyberjaya, 63100 Selangor.
- "Client / You / User" — any individual, sole trader, partnership, or organisation that engages our services or accesses our website.
- "Service" — any AI integration advisory, training programme, or consultancy engagement provided by Maju Mesin as described in a scope document or on our website.
- "Website" — the website accessible at https://maju-mesin.pro and any associated web pages.
- "Content" — all materials, documents, templates, reports, and outputs produced by Maju Mesin in the course of an engagement.
- "Scope Document" — a written document agreed between the parties before an engagement begins, setting out deliverables, timeline, fees, and any specific conditions.
Acceptance of Terms
By engaging our services, submitting a contact form, or accessing our website, you confirm that:
- You are at least 18 years of age, or have reached the age of majority in your jurisdiction.
- You have the legal capacity and authority to enter into a binding agreement — whether acting on your own behalf or on behalf of a business entity.
- You have read and understood these terms and agree to be bound by them.
- If acting on behalf of an organisation, you represent that you have the authority to bind that organisation to these terms.
If you do not agree to any part of these terms, you should not use our website or engage our services.
Service Description
Maju Mesin provides AI integration advisory, staff training, and operational framework development services for businesses in Malaysia. Our current service offerings include:
- AI for Small Business Starter — a two-week engagement covering workflow review, tool identification, setup assistance, and basic team training.
- AI-Powered Data Analysis Training — a five-session training programme over three weeks focused on accessible, no-code AI tools for data work.
- Full-Scale AI Operations Framework — a five-month comprehensive engagement covering governance, architecture, integration, and organisation-wide training.
The precise scope, deliverables, and timeline for any engagement will be agreed in a Scope Document prior to commencement. Nothing in our marketing materials constitutes a commitment to deliver specific outcomes.
We reserve the right to modify, suspend, or discontinue any service offering with reasonable notice. Engagements already underway and governed by a signed Scope Document will not be unilaterally altered by us during the agreed engagement period.
User Responsibilities
Clients engaging Maju Mesin agree to the following responsibilities:
- Provide accurate, complete, and up-to-date information when requested during the engagement process.
- Make relevant team members available for discovery sessions, training, and reviews as agreed in the Scope Document.
- Ensure that any business data shared with Maju Mesin has been shared lawfully and that you have the right to share it.
- Respond to communications within a reasonable timeframe to avoid delays to engagement milestones.
- Implement agreed changes or tool setups within the engagement period, or communicate promptly if constraints arise.
- Not misrepresent the extent of Maju Mesin's involvement or endorsement of any tool, platform, or approach.
Prohibited activities include:
- Using our website in any way that is unlawful, fraudulent, or harmful.
- Attempting to gain unauthorised access to any part of our systems or data.
- Reproducing, reselling, or redistributing engagement materials developed for your organisation to third parties without our written consent.
- Impersonating Maju Mesin or misrepresenting any affiliation with us.
Intellectual Property
All intellectual property rights in the Maju Mesin brand, website, general methodologies, training frameworks, and non-client-specific materials remain the property of Maju Mesin.
Upon full payment of fees for an engagement, the Client is granted a non-exclusive, non-transferable licence to use the deliverables produced for that engagement (including reports, templates, and documentation) for internal business purposes. This licence does not permit:
- Sublicensing, reselling, or distributing materials to third parties.
- Removing or altering any attribution or branding present in delivered materials.
- Using materials in a way that misrepresents our involvement or views.
Any data, content, or materials provided by the Client during an engagement remain the property of the Client. We make no claim of ownership over Client-provided materials.
Payment Terms
All fees are quoted and billed in Malaysian Ringgit (MYR). Applicable taxes, including any Sales and Service Tax (SST) requirements under Malaysian law, will be stated clearly in the Scope Document or invoice.
Payment schedules are agreed in each Scope Document. Standard payment terms for our services are:
- AI for Small Business Starter (RM 600): Full payment prior to commencement.
- AI-Powered Data Analysis Training (RM 1,680): 50% prior to commencement, 50% upon completion of Session 3.
- Full-Scale AI Operations Framework (RM 3,150): Payment in three instalments as specified in the Scope Document.
Invoices are due within 14 days of issue. Late payment may result in a pause of engagement activities. We will provide reasonable written notice before suspending any active engagement due to non-payment.
Requests for refunds are handled on a case-by-case basis. We do not offer refunds for completed sessions or delivered milestones. If an engagement is cancelled by the Client before commencement, any deposit paid may be retained to cover preparation costs incurred.
Service-Specific Terms
AI for Small Business Starter
- Scope is limited to the agreed two-week period. Extension requests are subject to availability and additional fees.
- The 30-day email support period begins on the date the engagement handover summary is delivered.
- Tool recommendations are advisory only. The Client is responsible for any subscription or licensing costs associated with third-party tools.
AI-Powered Data Analysis Training
- Training sessions must be attended by the participants named or approved at the time of booking. Substitutions may be requested with reasonable notice.
- If a session is missed by the Client without prior notice, a rescheduling fee may apply.
- Templates and reference materials are licensed for internal use only and may not be resold or redistributed.
Full-Scale AI Operations Framework
- Quarterly review sessions must be used within 12 months of handover completion. Unused sessions do not carry over.
- Changes to the agreed scope during the engagement will be documented and may affect timeline or fees. No scope changes are made without written agreement from both parties.
- Governance documentation and policy drafts require Client review and approval before they become final deliverables.
Disclaimers
Our services are provided on an "as available" basis. To the extent permitted by Malaysian law, we make no warranties — express or implied — regarding:
- The fitness of any recommended AI tool for a specific purpose.
- The accuracy or completeness of any analysis, recommendation, or report produced during an engagement.
- Specific business outcomes, revenue improvements, or efficiency gains resulting from the adoption of AI tools.
- The continued availability or performance of any third-party AI platform recommended during an engagement.
The results of AI adoption vary significantly between organisations depending on factors outside our control, including staff commitment, existing infrastructure, data quality, and industry context. No specific outcome is promised or implied.
Limitation of Liability
To the fullest extent permitted by applicable Malaysian law, Maju Mesin shall not be liable for:
- Indirect, incidental, or consequential loss, including but not limited to loss of revenue, loss of data, or business interruption.
- Losses arising from your reliance on third-party tools, platforms, or services recommended during an engagement.
- Any loss resulting from unauthorised access to systems or data not within our direct control.
Our total aggregate liability in relation to any engagement shall not exceed the total fees paid by the Client for that specific engagement. Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under Malaysian consumer protection law.
Termination
Either party may terminate an active engagement by providing written notice. The notice period and any applicable fees for early termination will be specified in the Scope Document. In the absence of a specific clause, 14 days written notice is required from either party.
We reserve the right to terminate an engagement immediately if the Client:
- Fails to make payment within 30 days of an overdue invoice after written notice.
- Acts in a manner that is abusive, threatening, or harmful toward our staff or associates.
- Materially breaches any term of this Agreement and fails to remedy that breach within 14 days of written notice.
Upon termination, the Client retains a licence to use any deliverables delivered and paid for up to the point of termination. Sections relating to intellectual property, liability, and dispute resolution survive termination of this Agreement.
Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of Malaysia. In the event of any dispute arising out of or in connection with an engagement or these terms, the parties agree to the following process:
- Informal Resolution: Either party may raise a concern in writing. Both parties agree to respond within 10 business days and attempt to resolve the matter informally within 30 days.
- Mediation: If informal resolution fails, either party may request mediation through the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, or another agreed mediator.
- Litigation: If mediation is unsuccessful or declined, disputes may be referred to the courts of Malaysia, with the parties submitting to the non-exclusive jurisdiction of the Malaysian courts.
Nothing in this clause prevents either party from seeking urgent injunctive or interim relief from a court where necessary to protect their interests.
General Provisions
- Entire Agreement: This Agreement, together with any signed Scope Document, constitutes the entire agreement between the parties in respect of the relevant engagement and supersedes all prior discussions, proposals, or representations.
- Severability: If any provision of these terms is found to be unenforceable or invalid, the remaining provisions continue in full force and effect.
- Waiver: A failure by either party to enforce any right under these terms does not constitute a waiver of that right for future circumstances.
- Assignment: The Client may not assign or transfer any rights or obligations under this Agreement without our prior written consent. We may transfer our obligations to an associate company or successor entity with reasonable notice to the Client.
- Notices: All formal notices should be sent by email to [email protected] or by post to our registered address. Notices are deemed received on the next business day after sending.
- Force Majeure: Neither party shall be in breach of this Agreement where a failure to perform is caused by circumstances beyond their reasonable control, including natural disasters, public health emergencies, or government actions, provided that the affected party notifies the other promptly.
- Indemnification: The Client agrees to indemnify Maju Mesin against any claims, losses, or costs arising from the Client's breach of these terms or misuse of any deliverables or materials provided under an engagement.
Changes to These Terms
We may update these Terms & Conditions periodically to reflect changes in our services, applicable law, or business practices. The updated version will be published on our website with a revised "Last updated" date. For clients in an active engagement, material changes will be communicated directly.
Continued use of our website or services after an update constitutes acceptance of the revised terms. If you do not agree to updated terms, you should cease using our website and discuss with us how any ongoing engagement should be handled.
